IMPORTANT - READ CAREFULLY: These Terms of Service (Terms) are a legally binding agreement between you and Vandra Labs Pty Ltd (ACN 699 300 804, ABN 17 699 300 804) (Vandra Labs Pty Ltd, Company, we, our, or us) governing your use of Preppery.
About Preppery
Preppery is a meal planning and recipe management application that helps you organise recipes, plan meals, and build shopping lists. Preppery is owned and operated by Vandra Labs Pty Ltd (ACN 699 300 804, ABN 17 699 300 804).
These Terms apply to your use of the Preppery website at preppery.app, mobile application, and related services (collectively, the Service).
By downloading, installing, accessing, or using Preppery, you agree to these Terms. If you do not agree, do not use the Service.
Nothing in these Terms excludes, restricts, or modifies any rights or remedies you may have under the Australian Consumer Law that cannot lawfully be excluded. Section 15.2 explains how disputes are handled.
Definitions
In these Terms:
- "Preppery" means the Preppery brand, mobile application, and website.
- "Service" means the Preppery website at preppery.app, mobile application, and related services.
- "Vandra Labs Pty Ltd", "Company", "we", "us", or "our" means Vandra Labs Pty Ltd (ACN 699 300 804, ABN 17 699 300 804), the legal entity that owns and operates Preppery.
- "You" or "User" means any individual who accesses or uses the Service.
- "Account" means a registered user account for the Service.
- "Household" means a shared space in Preppery that you create or join, through which members may share recipes, schedules, and shopping lists.
- "User Content" means any content you submit to, import into, or use with the Service, including recipes, schedules, shopping lists, images, notes, and profile information.
1. Accounts
1.1 Account creation
To use Preppery, you must register for an Account and provide accurate information. You represent that you are at least 18 years of age and that all registration information you submit is truthful and accurate. Access to the Service also requires an active subscription as described in Section 7.
1.2 Account responsibilities
Your Account is personal to you. You are responsible for maintaining the confidentiality of your Account credentials and for all activities under your Account. Do not share your login details with anyone else. To give other people access to shared recipes, schedules, or shopping lists, invite them to a Household as described in Section 4.
Notify us immediately of any unauthorised use or security breach. We are not liable for loss arising from your failure to protect your credentials, except to the extent such liability cannot be excluded under applicable law.
1.3 Account deletion
You may delete your Account at any time, for any reason, at no charge. To delete your Account in Preppery, open Settings and follow the account deletion instructions. Deletion is permanent and cannot be undone.
If you are unable to delete your Account in the app, contact us at support@preppery.app from the email address associated with your Account. We may ask you to verify your identity before processing the request.
When your Account is deleted, your right to access Preppery ends and we will delete or de-identify your User Content and other personal information associated with your Account, except where retention is required or permitted by law (for example, to comply with legal obligations, resolve disputes, enforce our agreements, or maintain security logs). Content you have already shared with a Household may remain available to other members as described in Section 4. Uninstalling the app from your device does not delete your Account.
2. Access to the Service
2.1 Permission to use
Subject to these Terms, we grant you a non-transferable, non-exclusive, revocable, limited right to access and use Preppery solely for your personal, non-commercial use.
2.2 Restrictions
You agree not to:
- license, sell, rent, lease, transfer, or commercially exploit Preppery;
- modify, reverse engineer, decompile, or create derivative works of the Service;
- access the Service to build a competing product or service;
- copy, reproduce, or distribute any part of the Service except as permitted by its functionality;
- use automated means to access or scrape the Service without our written consent;
- interfere with, overload, or disrupt the Service, or attempt to gain unauthorised access to any part of it;
- introduce malware or other harmful code, or impersonate Preppery, our staff, or another user; or
- use the Service in any unlawful manner or in violation of these Terms.
2.3 Modifications
We may modify, suspend, or discontinue Preppery (in whole or in part). Where a change is material and adverse to you, we will give reasonable notice where practicable (for example by email or in-app notice). This does not limit any rights you may have under the Australian Consumer Law.
2.4 Ownership
Excluding User Content and third-party recipe content you import, all intellectual property rights in Preppery and its content are owned by Vandra Labs Pty Ltd or our licensors. The Preppery name, logo, and related marks are trademarks of Vandra Labs Pty Ltd. You must not use those marks without our written permission.
2.5 Feedback
If you provide feedback or suggestions about Preppery (Feedback), you assign to us all rights in such Feedback, and we may use it without restriction or compensation.
3. User content
3.1 Responsibility
You are solely responsible for your User Content, including content you create, upload, or import, and content you share with a Household.
3.2 Your warranties
You represent and warrant that: (a) you own your User Content or have all rights needed to submit, import, and use it with the Service, including to share it with Household members where you do so; and (b) your User Content and our use of it as permitted by these Terms will not infringe any third-party intellectual property or other rights, or violate any applicable law.
3.3 Licence
You retain ownership of your User Content. You grant Vandra Labs Pty Ltd a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, and process your User Content solely to operate and provide Preppery, including displaying it to Household members you share it with. We do not claim ownership of your recipes or of third-party recipe content you import.
3.4 Acceptable use
You agree not to submit User Content that infringes third-party rights, is unlawful, harassing, abusive, or harmful. We may review, refuse, or remove User Content if we reasonably believe it breaches these Terms, applicable law, or third-party rights.
3.5 Recipe import
Preppery may allow you to import a recipe by providing a URL. Import is for your personal, non-commercial use only. By requesting an import, you instruct us to fetch publicly available content from that URL on your behalf. Importing a recipe does not grant you ownership of the original work, and you must not republish imported recipes as if they were your original content.
We do not guarantee that any particular source can be imported, that imported content is complete or accurate, or that import will remain available for any website or platform. We may refuse, limit, or withdraw import from a source at any time.
3.6 Recipe disclaimer
Recipes in Preppery may be created by you, shared by Household members, or imported from third-party websites. We do not review, verify, or endorse recipes before they are stored or displayed. We are not responsible for the accuracy, safety, or completeness of any recipe content. Recipes are provided for general information and personal organisation only.
4. Households
You may create or join a Household to share recipes, meal schedules, and shopping lists with other users. You are responsible for the people you invite and for content you share with them. Use Household invites rather than sharing your Account credentials.
Content you share with a Household will be visible to other members of that Household, who may use it within Preppery for their own personal, non-commercial meal planning. If you leave a Household or delete your Account, we cannot remove copies of shared content that remain in another member's Account or in the Household.
We may suspend or remove Household access where we reasonably believe these Terms, applicable law, or third-party rights have been breached.
5. Artificial intelligence
Certain features of Preppery may use automated or AI-based processing (such as ingredient category classification). Results may be inaccurate or incomplete. Do not rely on automated classifications as your sole basis for dietary, allergen, or purchasing decisions. Always verify ingredients and product information yourself.
6. No medical or dietary advice
Preppery is for general meal planning and recipe organisation only. It does not provide medical, nutritional, or dietary advice. Content in the Service is not a substitute for professional advice from a qualified health provider. You are responsible for reviewing ingredients, cooking and food-handling practices, and seeking appropriate professional guidance regarding allergies, medical conditions, or dietary requirements.
7. Subscriptions and billing
7.1 Paid subscription required
Access to Preppery requires an active paid subscription (or an active free trial associated with a subscription). Subscription plans, prices, and features are presented in the app before you purchase.
7.2 Auto-renewable subscriptions
Subscriptions are auto-renewable and are billed through the Apple App Store or Google Play Store, as applicable. Payment will be charged to your Apple ID or Google Play account at confirmation of purchase. Subscriptions renew automatically unless auto-renew is turned off at least 24 hours before the end of the current period.
Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of the selected plan. You can manage or cancel your subscription in your device account settings (App Store or Google Play subscriptions), or via the manage subscription controls in Preppery where available.
7.3 Free trial
Where offered, new subscribers may receive a free trial (currently 7 days, subject to change and eligibility rules of Apple or Google). If you do not cancel before the trial ends, your subscription converts to a paid plan and you will be charged. Unused portions of a free trial are forfeited when you purchase a subscription, where permitted by the applicable store.
7.4 Refunds
Billing, refunds, and cancellations for in-app subscriptions are handled by Apple or Google under their respective terms. Contact the applicable store support for refund requests. Deleting your Preppery Account does not automatically cancel a store subscription; you must cancel through Apple or Google as well. This section does not limit any refund or other remedy you may have under the Australian Consumer Law.
7.5 Price and plan changes
We may change subscription plans, features, or prices from time to time. Where required by Apple, Google, or applicable law, we will give advance notice of a price change. The new price applies from the next renewal unless you cancel before that renewal.
8. Third-party links and services
Preppery may contain links to third-party websites or allow you to import content from third-party sources. We are not responsible for third-party websites, content, or services. Your use of third-party services is at your own risk and subject to their terms and policies.
9. Copyright complaints
We respect intellectual property rights. If you believe content in Preppery infringes your copyright, send a notice to support@preppery.app with:
- identification of each work you claim has been infringed;
- a description of where the material appears in the Service (including any URL or other location detail you have);
- your name, address, phone number, and email address;
- a statement that you have a good-faith belief the use is not authorised by the copyright owner, its agent, or the law; and
- your electronic or physical signature.
We may remove or disable access to the material, and may pass your name and email address to the user who submitted it. We may terminate Accounts of users who repeatedly infringe copyright. Misuse of this process may result in Account termination or other consequences.
10. Privacy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. Vandra Labs Pty Ltd is the data controller for personal information collected through Preppery.
11. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Vandra Labs Pty Ltd and its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your User Content, your use of Preppery other than as permitted by these Terms, your violation of these Terms, or your violation of any third-party rights or applicable law.
12. Disclaimers
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you may have under the Australian Consumer Law or other applicable law that cannot lawfully be excluded or limited.
If you are a consumer in Australia, our services come with guarantees that cannot be excluded under the Australian Consumer Law. For a major failure, you may be entitled to cancel your service contract with us and to a refund for the unused portion, or to compensation for its reduced value. You may also be entitled to compensation for any reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion of the contract.
Subject to the previous paragraphs, Preppery IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VANDRA LABS PTY LTD AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT Preppery WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EXCEPT FOR LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER THE AUSTRALIAN CONSUMER LAW OR OTHER APPLICABLE LAW, WE (AND OUR SUPPLIERS) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF Preppery.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO Preppery WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) AUD $100.
If we are liable to you under the Australian Consumer Law for a failure to comply with a consumer guarantee, and it is fair and reasonable to do so, our liability is limited to supplying the services again or paying the cost of having the services supplied again.
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
14. Term and termination
We may suspend or terminate your access to Preppery if you breach these Terms, if we reasonably need to do so to comply with law or protect the Service or other users, or if we discontinue the Service. You may stop using the Service or delete your Account at any time as described in Section 1.3. Upon termination or Account deletion, your right to access Preppery ceases. Provisions that by their nature should survive termination will survive, including Sections 2.4, 3, 9, 11, 12, 13, and 15.
15. General
15.1 Governing law
These Terms are governed by the laws of Victoria, Australia, without regard to conflict of law principles.
15.2 Dispute resolution
If you have a dispute arising from these Terms or Preppery, please contact us first at support@preppery.app so we can try to resolve it informally. If it is not resolved within 30 days, either party may commence proceedings in the courts of Victoria, Australia, which will have exclusive jurisdiction, except that you may still bring a claim in any court or tribunal that has jurisdiction where that right cannot be excluded (including under the Australian Consumer Law). Nothing in these Terms prevents you from lodging a complaint with a regulator such as the ACCC or the OAIC, or with Apple or Google in relation to a store purchase.
15.3 Amendments
We may amend these Terms from time to time. We will post the updated Terms on Preppery with a revised "Last updated" date. If we make a material change, we will give notice where reasonably practicable, for example by email to the address associated with your Account and/or by an in-app notice.
Changes take effect on the date stated in the notice or, if none is stated, when posted. If you do not agree to the amended Terms, you must stop using the Service and may delete your Account before the changes take effect. If a change is unfavourable to you, you may terminate these Terms before it takes effect. Continued use of Preppery after the effective date constitutes acceptance of the amended Terms.
15.4 Assignment
We may assign these Terms, or any of our rights or obligations under them, in connection with a merger, acquisition, corporate reorganisation, or sale of assets, or as required by law. You may not assign these Terms without our prior written consent.
15.5 Severability and waiver
If any provision of these Terms is held invalid or unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will continue in effect. Our failure to enforce any provision is not a waiver of our right to do so later.
15.6 Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vandra Labs Pty Ltd regarding Preppery.
